Terms of Use

1. Agreement

These Terms of Use form a binding agreement between you and Empire Platforms LLP ("Empire Platforms", "we", "us") governing your access to and use of the Empire website at empirekeep.com, the Empire workspace application, and related software features and platform services together referred to as the "Services".

By creating an account, purchasing access, or otherwise using the Services, you accept these Terms. If you do not accept them, do not use the Services.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a contract to use the Services.

If you use the Services on behalf of a business or other organisation, you confirm that you are authorised to bind that organisation, and "you" refers to both you and that organisation.

3. Description of the Services

Empire is business CRM and operations software. The platform can help organise customer relationships, projects, invoices, documents, tasks, workflows, records, reminders, and operational activity in a shared workspace.

Features, limits, integrations, storage, and access levels may vary by plan, account, or product configuration and are described on the relevant product or checkout page.

4. Software only

Empire provides software and platform support. Empire does not provide accounting, bookkeeping, tax preparation, audit, legal, investment, or financial advisory services.

The Services do not create a professional-client, fiduciary, banking, or advisory relationship. Customers remain responsible for decisions made using information stored, organised, calculated, displayed, or exported through Empire.

Where professional review is appropriate, customers should engage a qualified adviser of their choice.

5. Accounts and access

You are responsible for providing accurate registration details and keeping them current.

You may invite additional users where your account allows. You are responsible for managing permissions and for activity performed by users you authorise.

6. Account security

You are responsible for keeping login credentials confidential and for protecting access to devices and accounts used with Empire.

Notify support@empirekeep.com promptly if you become aware of unauthorised access. We may temporarily restrict access where we reasonably believe an account has been compromised.

7. Software licence

Subject to these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes during the applicable access period.

You may not copy, sell, sublicense, reverse engineer, or commercially exploit the Services except where applicable law expressly permits it or we give written permission.

8. Customer Content

You retain your rights in records, documents, text, files, and other content you upload, enter, or connect to Empire ("Customer Content").

You grant us a limited licence to host, store, process, transmit, display, back up, and otherwise handle Customer Content only as needed to provide, secure, support, and improve the Services.

You are responsible for the legality, accuracy, completeness, and permissions associated with Customer Content.

9. Platform output

Empire may generate summaries, totals, reports, reminders, workflow states, suggestions, exports, or other outputs from Customer Content and platform activity.

These outputs are software-generated and depend on the information available to the platform. You are responsible for reviewing outputs before relying on them or sharing them externally.

10. Plans and billing

Prices, billing periods, usage limits, and included features are shown before purchase. The final transaction currency and amount are confirmed before checkout.

Additional commercial terms are set out in the Subscription and Purchase Terms, which form part of these Terms.

11. Integrations and third-party services

The Services may connect with third-party products or depend on third-party infrastructure for hosting, authentication, storage, communications, payments, or other functionality.

A third party's own terms and privacy practices apply when you choose to connect or use that third party. We are not responsible for third-party services outside our control.

12. Acceptable use

Your use of the Services must comply with the Acceptable Use Policy, which forms part of these Terms.

You must not misuse the Services, interfere with security or availability, attempt to access another customer's workspace, upload malicious code, or use Empire for unlawful activity.

13. Intellectual property

Empire Platforms and its licensors own the Services, including the software, interfaces, design system, documentation, templates, and the Empire name and marks.

Except for the limited access rights expressly granted in these Terms, no intellectual property rights are transferred to you.

14. Feedback

If you provide suggestions or product feedback, we may use them without restriction or payment. Feedback is provided voluntarily and is not treated as confidential unless we agree otherwise in writing.

15. Availability and changes

We aim to keep the Services available and useful, but uninterrupted or error-free operation is not guaranteed. Maintenance, updates, third-party dependencies, and events outside our control may affect availability.

We may add, modify, replace, or remove features as the product evolves. Where a change materially reduces paid functionality, we will take reasonable steps to communicate it.

16. Suspension and termination

You may stop using the Services at any time. Cancellation and refund outcomes are governed by the Refund and Cancellation Policy.

We may suspend or terminate access for material breach of these Terms, non-payment, security concerns, abuse, or where required by law.

17. Data export and retention

Where export functionality is available, you can export supported workspace records while access remains active.

After termination, Customer Content is retained, deleted, or anonymised according to the Privacy Policy and our ordinary operational processes.

18. Disclaimers

The Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will satisfy a particular regulatory, accounting, legal, tax, or business requirement or produce a particular commercial outcome.

19. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data.

Our aggregate liability arising out of or relating to the Services is limited to the amounts you paid to us for the Services during the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

20. Indemnity

You will indemnify and hold Empire Platforms harmless from third-party claims, losses, and reasonable costs arising from Customer Content, your breach of these Terms, or your unlawful use of the Services.

21. Changes to these Terms

We may update these Terms as the Services or applicable requirements change. The current version is published at empirekeep.com/legal/terms.

Where a change is material, we will take reasonable steps to notify account holders before or when the change takes effect.

22. Governing law and contact

These Terms are governed by the laws of India. The courts at Mumbai, Maharashtra have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, subject to any rights that cannot be waived under applicable law.
