Terms of Use
The terms governing use of the Empire website, customer workspace, platform features, implementation services, and related services.
1. Agreement
These Terms of Use form a binding agreement between you and Empire Platforms LLP (“Empire Platforms”, “we”, “us”) governing your access to and use of the Empire website at empirekeep.com, the Empire workspace application, and any related services, implementation work, or managed services we provide (together, the “Services”).
By creating an account, purchasing a plan or service, or otherwise using the Services, you accept these Terms. If you do not accept them, do not use the Services.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a contract to use the Services.
If you use the Services on behalf of a business or other organisation, you confirm that you are authorised to bind that organisation, and “you” refers to both you and that organisation.
3. Description of the Services
Empire is business finance and operations software. It organises income, expenses, invoices, clients, documents, tax-related records, deadlines, and recurring responsibilities in one workspace.
Empire also offers optional guided implementation services and an optional managed Individual Taxes service. Those services are described separately and are purchased in addition to, or as part of, specified plans.
4. What Empire is not
Empire is not a bank, neobank, payment processor, lender, payroll provider, money transmitter, custodian, or investment platform. Empire does not hold, move, or safeguard your funds.
Empire does not provide accounting, audit, legal, tax, or financial advice through the software, and use of the software does not create a professional-client relationship of any kind.
Empire does not guarantee compliance with any tax, accounting, or regulatory obligation.
5. Accounts and access
Workspace access is provided when your Empire workspace is set up. You are responsible for the accuracy of the registration details you provide and for keeping them current.
You may invite additional users to your workspace where your plan allows. You remain responsible for everything done under your workspace, including by users you invite.
6. Account security
You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.
You must notify us at support@empirekeep.com as soon as you become aware of unauthorised access to your account.
We may suspend access where we reasonably believe an account has been compromised.
7. Your content and records
You retain all rights in the records, documents, figures, and other content you upload or enter into Empire (“Customer Content”).
You grant us a limited licence to host, store, process, transmit, and display Customer Content solely to operate and support the Services for you.
You are responsible for the accuracy, legality, and completeness of Customer Content, and for having the rights necessary to upload it.
8. Accuracy of information
Empire organises the information you provide. It does not verify, audit, reconcile, or independently confirm that information.
Any total, summary, report, readiness indicator, or export produced by Empire reflects only the records you have entered. Reviewing those records for accuracy remains your responsibility.
9. Plans, purchases, and pricing
Plans and services are presented with their price and scope before purchase. Prices are displayed in United States dollars unless stated otherwise.
Detailed commercial terms, including what is one-time and what recurs, are set out in the Subscription and Purchase Terms, which form part of this agreement.
10. Guided implementation services
Guided implementation services are delivered collaboratively and depend on your participation, including the timely provision of information, records, and decisions.
Implementation services configure your workspace. They do not include bookkeeping, reconstruction of records that do not exist, verification of your figures, or professional advice.
11. Managed Individual Taxes service
The managed Individual Taxes service is a separate, one-time, package-based service. It is scoped by the package you purchase and by the records you supply.
The service is a preparation and organisation service performed on the information you provide. It does not constitute tax advice, an audit, a legal opinion, or a representation before any tax authority unless expressly agreed in writing.
You remain responsible for the completeness and truthfulness of the information you provide and for reviewing and approving any output before you rely on it.
Where a package specifies limits (for example, the number of income sources, properties, or schedules covered), work outside those limits requires a further purchase or a written scope change.
12. Professional review
Empire is designed to make your records easier for a licensed accountant, bookkeeper, or tax professional to review. It is not a substitute for that professional.
You should obtain independent professional advice before making financial, tax, or legal decisions.
13. Acceptable use
Your use of the Services must comply with the Acceptable Use Policy, which forms part of this agreement.
You must not use the Services unlawfully, upload malicious code, attempt to access another customer's workspace, probe or interfere with our infrastructure, scrape the Services, or resell access without our written consent.
14. Third-party services
The Services rely on third-party infrastructure providers for hosting, storage, authentication, and email delivery. Their availability affects ours.
Where you connect or send information to a third-party service, that service's own terms and privacy practices apply to it.
15. Intellectual property
Empire Platforms and its licensors own the Services, including the software, interface, design system, documentation, templates, and the Empire name and marks.
You receive a limited, non-exclusive, non-transferable, revocable right to use the Services for your own business purposes during your subscription or service term. No other rights are granted.
16. Feedback
If you send us suggestions or feedback, we may use them without restriction and without obligation to you. Feedback is provided voluntarily and is not confidential.
17. Availability and changes
We aim to keep the Services available but do not promise uninterrupted access. Maintenance, updates, and factors outside our control can cause downtime.
We may add, modify, or remove features. Where a change materially reduces a core function of a plan you have purchased, we will give reasonable notice.
18. Suspension and termination
You may stop using the Services at any time. Cancellation and refund outcomes are governed by the Refund and Cancellation Policy.
We may suspend or terminate access where you materially breach these Terms, where required by law, or where continued access presents a security or legal risk.
On termination, your right to use the Services ends. You should export your records before your access period ends.
19. Data export and retention
You can prepare and export structured records from your workspace while your access is active.
After termination we retain Customer Content only for the period described in the Privacy Policy, after which it is deleted or anonymised in the ordinary course.
20. Disclaimers
The Services are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Services will meet a specific regulatory requirement, produce a particular tax or financial outcome, or be error-free.
21. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data.
Our aggregate liability arising out of or relating to the Services is limited to the amounts you paid to us for the Services in the twelve months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
22. Indemnity
You will indemnify and hold Empire Platforms harmless from claims, losses, and reasonable costs arising from Customer Content, your breach of these Terms, or your unlawful use of the Services.
23. Changes to these Terms
We may update these Terms. The current version is always published at empirekeep.com/legal/terms with a “Last updated” date.
Where a change is material, we will take reasonable steps to notify account holders. Continued use after a change takes effect constitutes acceptance.
24. Governing law, disputes, and contact
These Terms are governed by the laws of India. The courts at Mumbai, Maharashtra have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.
Before commencing proceedings, each party will attempt in good faith to resolve the dispute by writing to the other.
